TRIBUNALMETRIX TERMS OF USE AND LIABILITY NOTICE Effective: July 17, 2026 Version: 1.2.0 1. Agreement and authorized use These Terms form an agreement between you and TribunalMetrix test operator (the “Operator”). By expressly accepting these Terms and continuing to use TribunalMetrix, you agree to be bound by them. TribunalMetrix is a private, invitation-only platform. You may use it only through your assigned account for lawful professional, educational or administrative purposes. Accounts and authentication factors may not be shared. 2. Legal-support software; no legal advice TribunalMetrix provides legal research, procedural calculation, chronology, citation and document-support functions. It does not provide legal advice, a legal opinion or a substitute for professional judgment. Use does not create a lawyer-client, paralegal-client, fiduciary, advisory or other professional relationship with the Operator, developers, contributors, hosting providers or source publishers. 3. Independent verification required You are responsible for independently verifying every authority, quotation, citation, deadline, service date, interest rate, calculation, procedural step, form requirement and generated document before use or reliance. Verification must be made against current official sources and the facts, orders, endorsements and instructions governing the specific matter. TribunalMetrix may contain omissions, delays, transcription errors, programming errors, outdated material or incomplete coverage. 4. Professional responsibility You remain solely responsible for your professional services, client communications, advice, filings, representations, confidentiality, privilege, limitation periods, records management and compliance with applicable professional rules. TribunalMetrix is not your official client file, accounting system, trust system, document-management system or backup. 5. Temporary processing and data minimization TribunalMetrix is designed not to retain client, party, matter, calculation, timeline, research-query, uploaded-document or generated-document content after processing. Information entered into a tool may be transmitted to and held temporarily by the application and its infrastructure for the time reasonably necessary to perform the requested function and return the result. You must avoid entering unnecessary personal or confidential information and must have authority to process any information submitted. The platform retains the limited categories described in the Privacy Notice, including account, authentication, legal-acceptance, security-log and firm-profile information. 6. No warranty To the maximum extent permitted by law, TribunalMetrix is provided “as is” and “as available,” without any representation, condition or warranty, express, implied, statutory or collateral, including accuracy, completeness, currency, availability, merchantability, fitness for a particular purpose, non-infringement, security or uninterrupted operation. No result, filing outcome or availability level is guaranteed. 7. Limitation of liability To the maximum extent permitted by law, the Operator and its developers, contractors, contributors and data providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages; lost profits, business, opportunity or data; a missed deadline; an adverse order; a costs award; a professional claim; or any other loss arising from or connected with TribunalMetrix or reliance on its output, even if the possibility of loss was known. Aggregate liability for all claims connected with TribunalMetrix will not exceed the greater of: (a) fees paid by you for TribunalMetrix during the twelve months before the event giving rise to the claim; and (b) CAD $100. Nothing excludes or limits liability that cannot lawfully be excluded or limited. 8. Indemnity To the extent permitted by law, you will indemnify and hold harmless the Operator from third-party claims, losses and reasonable costs resulting from your unlawful use, breach of these Terms, infringement of another person’s rights, disclosure of credentials or submission of information you were not authorized to process. 9. Official and third-party sources Courts, tribunals, governments and other third parties control the official materials linked to or indexed by TribunalMetrix. The Operator does not control those sources and is not responsible for their availability, accuracy, changes, terms or privacy practices. A link, index entry or citation is not an endorsement and does not amount to noting up an authority. 10. Security and access You must use a unique password, maintain multi-factor authentication, protect your devices and promptly report suspected compromise. Access may be suspended or revoked for misuse, security concerns, non-payment, breach of these Terms or termination of the private beta. Features and sources may be corrected, changed, suspended or discontinued. 11. Intellectual property TribunalMetrix software, branding, interface and original materials are protected by applicable intellectual-property laws. No ownership is transferred to you. Official legal materials remain subject to the rights and terms applicable to their publishers. 12. Governing law and jurisdiction These Terms are governed by Ontario law and the federal laws of Canada applicable in Ontario. Subject to non-waivable statutory rights, Ontario courts have exclusive jurisdiction over disputes relating to these Terms or TribunalMetrix. 13. Changes, severability and entire agreement Updated Terms may require renewed acceptance. If a provision is invalid or unenforceable, it will be limited or severed only to the minimum extent necessary and the remaining provisions will continue. These Terms, the Privacy Notice and any written subscription terms constitute the agreement governing use. 14. Contact Legal notices may be sent to thomas-turner@hotmail.com. By accepting, you confirm that you have read and understood these Terms, had the opportunity to print or retain a copy, and agree to be bound by them.
